End User License Agreement (EULA)
Effective Date: April 11, 2025
This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and ĀYŌDÈ (The Organization for the Advancement of Youth through Opportunities in Digital Education) regarding your use of our software, applications, websites, and related services (“Software”).
By accessing or using the Software, you agree to be bound by the terms of this Agreement.
1. License Grant
ĀYŌDÈ grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Software for educational and non-commercial purposes, subject to this Agreement.
2. Restrictions
You may not:
- Modify, copy, distribute, or create derivative works of the Software.
- Reverse engineer, decompile, or disassemble the Software.
- Rent, lease, or sell the Software.
- Remove any copyright or proprietary notices.
- Use the Software for commercial gain without written permission.
3. Ownership
ĀYŌDÈ retains all rights, title, and interest in and to the Software, including all intellectual property rights. Your use of the Software does not grant you ownership or any rights beyond those explicitly granted in this Agreement.
4. User Obligations
You agree to:
- Use the Software only in compliance with all applicable laws and regulations.
- Not interfere with or disrupt the functionality or security of the Software.
- Respect the rights of other users and third parties.
5. Privacy
Your use of the Software is also governed by our Privacy Policy.
6. Termination
ĀYŌDÈ may terminate this Agreement and your access to the Software at any time for any violation of its terms. Upon termination, you must immediately stop using the Software and delete any copies in your possession.
7. Disclaimer of Warranties
The Software is provided “as is” and “as available.” ĀYŌDÈ makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, ĀYŌDÈ shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software.
9. Changes to This Agreement
ĀYŌDÈ may update this Agreement from time to time. The most current version will always be posted on our website. Continued use of the Software after changes become effective constitutes your acceptance of the revised Agreement.
10. Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
